doing business as UWAYS (“UWAYS,” “we,” “our,” or “us”),
respects your privacy and is committed to protecting your personal information. This Privacy Policy explains how
UWAYS collects, uses, discloses, stores, and otherwise processes personal information when you access or use our
websites, mobile applications, and related services (collectively, the “Services”). UWAYS operates a
technology platform that helps connect transportation providers, drivers, fleets, carriers, dispatchers,
affiliates, and other business users. Unless expressly stated otherwise, UWAYS acts as a marketplace and
software platform and is not the direct provider of transportation services. By using the Services, you
acknowledge that your personal information may be processed as described in this Privacy
Policy.
1. SCOPE OF THIS PRIVACY POLICY
This Privacy Policy applies to personal
information processed by UWAYS in connection with the Services, including information collected from:
users
who create an account on the platform; transportation providers, drivers, fleets, carriers, dispatchers,
affiliates, and other business users; job posters and businesses or individuals posting transportation-related
opportunities or requests; visitors to our website; and persons who communicate with us for support, compliance,
or other business purposes. This Privacy Policy does not apply to third-party websites, platforms, services, or
integrations that are governed by their own privacy policies.
2. INFORMATION WE
COLLECT
We may collect the following categories of personal information, depending on how you
interact with the Services
A. Information You Provide
Directly
We may collect personal information you provide directly to us, including: Account
Information, such as your name, business name, email address, telephone number, password, profile photo,
username, and account preferences. Professional and Business Information, such as company affiliation, fleet
affiliation, role, service area, vehicle information, permits, licenses, insurance information, compliance
records, and related documentation. Job and Service Information, such as pickup and drop-off details, stop
information, scheduling details, trip notes, special instructions, service preferences, confirmations,
cancellations, and communications relating to a job.Passenger or Client Information Submitted by Users, such as
a passenger’s or client’s name, phone number, itinerary details, pickup instructions, or similar
information submitted by a Job Poster or other user in connection with a transportation job. Communications and
Support Requests, including information provided when you contact us, request support, report an issue, or
otherwise communicate with us. Limited Payment-Related Communications, such as communications or records
relating to offered rates, payment status, disputes, or related service issues where reasonably necessary for
support, fraud prevention, dispute review, recordkeeping, compliance, or enforcement.
B. Information Collected Automatically
When you use the
Services, we may automatically collect certain technical and usage information, including: device type and
model; operating system and version; app version; browser type; IP address; device identifiers; language and
regional settings; crash logs and diagnostics; dates and times of access; screens, pages, and features accessed;
and other log, usage, and interaction information.
C. Location Data
If you grant the relevant permissions on
your device, UWAYS may access, collect, and process location data, including:Approximate location, such as
location inferred from IP address; and Precise location, such as GPS-based location data from your mobile
device. Where permitted by your device settings and applicable permissions, UWAYS may collect location data
while the app is in use and, if applicable and authorized by you, in the background. We may use location data
for purposes including: matching users with relevant jobs, opportunities, or nearby providers;facilitating
pickups, drop-offs, meetups, and related logistics; supporting live job coordination and service reliability;
monitoring job progress and operational status; preventing fraud, misuse, or unauthorized activity; supporting
safety, enforcement, and customer service; and maintaining records relating to marketplace activity, support,
and disputes. You can manage location permissions through your device settings. If you disable certain location
permissions, some features of the Services may not function properly or may be unavailable.
D. Information from Third Parties
We may receive
information from third parties, including: analytics and infrastructure providers; communications and support
vendors; identity, fraud-prevention, or compliance vendors; business partners and affiliates; and other users
who provide information relating to a job, request, account, or dispute.
3. PASSENGER OR CLIENT INFORMATION PROVIDED BY USERS
In some cases, a Job Poster or
other user may provide personal information relating to a passenger, client, guest, or end customer for the
purpose of facilitating transportation services. UWAYS processes such information on the basis that the
submitting user has the authority and legal right to provide that information and, where required by applicable
law, has provided any necessary notices or obtained any required consents. Users who submit passenger or client
information are solely responsible for ensuring that their collection, disclosure, and use of such information
comply with applicable privacy and data protection laws.
4. HOW WE USE PERSONAL
INFORMATION
We may use personal information for the following purposes: to create, maintain, and
administer accounts; to operate, provide, maintain, and improve the Services; to facilitate marketplace
activity, including job posting, job acceptance, coordination, dispatching, fulfillment, and related
communications; to connect Job Posters, Providers, fleets, dispatchers, affiliates, and other platform
participants; to facilitate communications between users regarding job details, offered pricing, service
coordination, cancellations, and related support matters; to verify identity, eligibility, insurance, licensing,
permits, compliance status, or professional qualifications; to provide customer support and respond to
questions, complaints, or operational issues; to send transactional, administrative, operational, security, or
service-related communications; to monitor usage, system performance, reliability, and platform integrity; to
detect, prevent, investigate, and address fraud, abuse, circumvention, misuse, unauthorized activity, and
violations of our Terms or policies; to enforce legal, contractual, or policy-based rights; to comply with
legal, regulatory, tax, accounting, insurance, and compliance obligations; and to protect the rights, safety,
security, and property of UWAYS, our users, and others. We may also use personal information for other purposes
disclosed at the time of collection or as otherwise permitted by law.
5. HOW WE DISCLOSE
PERSONAL INFORMATION
We may disclose personal information in the following
circumstances:
A. Between Marketplace Participants
We
may disclose information between users of the platform as reasonably necessary to facilitate a job, service
request, assignment, coordination, support matter, or dispute resolution. Depending on the circumstances, this
may include: names; business or company information; contact details; job details and notes; pickup and drop-off
information; passenger-related instructions; vehicle information; service status and communications; and limited
information relating to offered job rates or payment-related communications where relevant to coordination,
support, dispute review, fraud prevention, or enforcement.
B. Service Providers and Vendors
We may disclose personal
information to service providers and vendors that perform services on our behalf, such as providers of: cloud
hosting and infrastructure; communications tools; customer support services; analytics, diagnostics, and
performance monitoring; identity, fraud, risk, or compliance tools; and professional, operational, or technical
support services. These parties are authorized to process personal information only as reasonably necessary to
provide services to UWAYS or on our behalf, subject to applicable legal and contractual restrictions.
C. Legal, Regulatory, Safety, and Enforcement Purposes
We
may disclose personal information where we believe in good faith that such disclosure is necessary or
appropriate to: comply with applicable law, regulation, legal process, or governmental request; protect the
rights, safety, or property of UWAYS, our users, passengers, or others; investigate or prevent fraud, abuse,
misuse, security incidents, or unlawful conduct; or enforce our Terms, agreements, or policies.
D. Business Transfers
We may disclose or transfer
personal information in connection with an actual or proposed merger, acquisition, financing, reorganization,
sale of assets, bankruptcy, or other corporate transaction.
E. With Your Direction or Consent
We may disclose personal
information where you direct us to do so or otherwise consent to the disclosure.
6. PRICING
AND PAYMENTS
At the current stage of the Services, UWAYS does not set, control, or determine the
rates, pricing, or compensation offered for jobs posted through the platform. Job Posters are solely responsible
for determining the amount they wish to offer for a job, including the amount to be paid to a Provider or
driver. Payments relating to jobs are generally arranged directly between the relevant users and are not
processed by UWAYS.
We may facilitate communications relating to job details, offered rates, payment
status, cancellations, or disputes only to the extent reasonably necessary to operate the platform, provide
support, prevent fraud, maintain records, comply with legal obligations, or enforce applicable terms and
policies. If UWAYS later introduces in-platform payment functionality or third-party payment integrations, this
Privacy Policy may be updated accordingly.
7. COOKIES AND SIMILAR
TECHNOLOGIES
If you use our website, we and our service providers may use cookies, pixels, SDKs,
local storage, and similar technologies for purposes such as: enabling core website functionality;
authentication and security; fraud prevention; analytics and diagnostics; performance monitoring; and
remembering user preferences. You may be able to manage certain settings through your browser or device
settings. Disabling certain technologies may affect the functionality of the Services.
8. NO
SALE OF PERSONAL INFORMATION; NO TARGETED ADVERTISING
UWAYS does not sell personal information
for monetary consideration. UWAYS does not share personal information for cross-context behavioral advertising
or targeted advertising based on tracking users across third-party websites or apps. UWAYS may use limited
analytics, diagnostics, and operational tools to maintain and improve the security, reliability, and performance
of the Services.
9. DATA RETENTION
We retain personal information for as long
as reasonably necessary for the purposes described in this Privacy Policy, including to: provide and operate the
Services; maintain business and operational records; comply with legal, tax, accounting, and regulatory
obligations; resolve disputes and enforce agreements; detect and prevent fraud, misuse, or abuse; and protect
the rights and interests of UWAYS and others. Retention periods may vary depending on the nature of the
information, the type of relationship involved, operational necessity, and applicable legal requirements. When
personal information is no longer reasonably necessary, we may delete, de-identify, or anonymize it, subject to
applicable law.
10. DATA SECURITY
UWAYS uses reasonable administrative,
technical, and organizational safeguards designed to protect personal information against unauthorized access,
disclosure, alteration, and destruction. However, no method of transmission over the Internet or electronic
storage is completely secure, and we cannot guarantee absolute security.
11. YOUR RIGHTS AND
CHOICES
Depending on your jurisdiction, you may have certain rights regarding your personal
information, which may include the right to: request access to certain personal information; request correction
of inaccurate personal information; request deletion of certain personal information; request information about
how your personal information has been collected, used, or disclosed; and exercise other rights available under
applicable law.
You may also be able to: update certain account or profile information through the
Services, where available; andcontrol device permissions, including location permissions, through your device
settings.

limit requests where permitted by law.
12. U.S. STATE PRIVACY RIGHTS
Residents
of certain U.S. states, including California, may have privacy rights under applicable law, subject to
exceptions and limitations. For example, California residents may have the right to request: access to the
categories and specific pieces of personal information collected about them; deletion of personal information;
correction of inaccurate personal information; information about categories of personal information disclosed
for business purposes; and non-discriminatory treatment for exercising applicable privacy rights. Because UWAYS
does not sell personal information or share personal information for cross-context behavioral advertising as
those terms are defined under certain state privacy laws, UWAYS does not offer a general opt-out mechanism for

Authorized agents may be required to provide proof of authority and verification information as permitted by
law.
13. CHILDREN’S PRIVACY
The Services are not directed to, and are not
intended for use by, individuals under the age of 18. UWAYS does not knowingly collect personal information
directly from children under 18. If we become aware that personal information has been collected from a child in
violation of applicable law, we may take steps to delete such information.
14. INTERNATIONAL
DATA TRANSFERS
If you access or use the Services from outside the United States, you understand
that your personal information may be transferred to, processed in, and stored in the United States and other
jurisdictions where UWAYS or its service providers operate. Those jurisdictions may have data protection laws
that differ from those of your home jurisdiction.
15. THIRD-PARTY SERVICES AND
LINKS
The Services may contain links to third-party websites, tools, services, or integrations.
UWAYS is not responsible for the privacy, security, or data handling practices of third parties. Your
interactions with third-party services are governed by the applicable third party’s own terms and privacy
policy.
16. CHANGES TO THIS PRIVACY POLICY
We may update this Privacy Policy
from time to time. If we make changes, we will update the “Effective Date” and/or “Last
Updated” date above. If required by applicable law, we will provide additional notice regarding material
changes. Your continued use of the Services after an updated Privacy Policy becomes effective constitutes your
acknowledgment of the revised Privacy Policy, to the extent permitted by law.

UWAYS, you consent to receive transactional and service-related messages, including account verification codes,

communications. Message frequency may vary depending on your account activity and use of the
Services. Message and data rates may apply based on your mobile carrier and service
plan. You may opt out of SMS messages at any time by replying STOP

Mobile phone numbers collected for SMS communications will not be sold, rented, or shared with third parties or affiliates for their own marketing or promotional purposes.
