These Terms & Conditions (“Terms”) govern your access to and use of the UWAYS mobile application, website, and related services (collectively, the “Platform”).
By creating an account, posting a job, accepting a job, accessing the Platform, or using the Platform in any manner, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use the Platform.
1. DEFINITIONS
For purposes of these Terms:
“UWAYS,” “we,” “us,” or “our” means Uways Inc., doing business as UWAYS.
“Platform” means the UWAYS mobile application, website, and related services.
“User” means any individual or entity that accesses or uses the Platform.
“Job Poster” means a User that posts, requests, coordinates, or offers a transportation-related job or opportunity through the Platform.
“Provider” means an independent driver, chauffeur, fleet operator, carrier, dispatcher, transportation company, or other service provider that accepts or performs a job arranged through the Platform.
“Job” means a transportation-related service request, opportunity, or assignment posted through the Platform, including related job details.
“Passenger” means any passenger, client, guest, or end customer associated with a Job.
“Content” means any information, communication, document, image, profile data, vehicle information, job detail, or other material submitted to or through the Platform.
2. PLATFORM ROLE; NO TRANSPORTATION PROVIDER STATUS; NO AGENCY
2.1 Platform Role
UWAYS operates a technology platform that facilitates job posting, discovery, matching, coordination, communication, and related marketplace functionality between Users.
Unless UWAYS expressly states otherwise in writing or in the Platform for a specific Job, UWAYS is not the transportation carrier, motor carrier, chauffeur service, fleet operator, dispatcher of record, employer, or direct provider of transportation services for that Job.
2.2 Independent Users
Job Posters and Providers are independent parties and are solely responsible for their own business decisions, operations, services, pricing, conduct, legal compliance, and contractual arrangements.
2.3 No Agency or Employment Relationship
Nothing in these Terms creates or shall be interpreted as creating any employment, agency, partnership, franchise, joint venture, fiduciary, or similar relationship between UWAYS and any User, or between UWAYS and any Provider or Job Poster.
2.4 No Guarantee of Business Results
UWAYS does not guarantee that any User will receive jobs, offers, work opportunities, bookings, earnings, responses, or any minimum level of activity through the Platform.
3. ELIGIBILITY; ACCOUNT REGISTRATION; ACCOUNT SECURITY
3.1 Eligibility
You must be at least eighteen (18) years old and legally capable of entering into a binding contract in order to use the Platform.
3.2 Accurate Information
You agree to provide accurate, current, and complete information during registration and throughout your use of the Platform, and to keep such information updated at all times.
3.3 Account Responsibility
You are responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account. You must notify UWAYS promptly if you suspect unauthorized access, misuse, or compromise of your account.
3.4 Verification
UWAYS may, but is not obligated to, verify identity, account information, licensing, permits, insurance, vehicle information, business information, and other documentation at any time. UWAYS may approve, deny, suspend, restrict, or terminate access to the Platform in its sole discretion to protect Users, maintain platform integrity, or comply with legal or operational requirements.
3.5 Additional Onboarding Steps
UWAYS may require additional onboarding steps, including calls, interviews, document review, profile review, or other verification measures, before allowing a User to access certain Platform features or accept Jobs.
4. PROVIDER REQUIREMENTS
4.1 Legal and Regulatory Compliance
Providers are solely responsible for ensuring that they are legally authorized to perform any Job they accept, and that they comply with all applicable federal, state, local, municipal, airport, licensing, insurance, permit, vehicle, safety, accessibility, labor, and transportation laws, rules, and regulations.
4.2 Licenses, Permits, and Insurance
Providers must maintain all licenses, permits, registrations, and insurance required by law and appropriate for the services they perform.
4.3 Vehicle and Driver Information
Providers must keep all vehicle, driver, and operating information accurate and current, including vehicle make, model, year, registration, license plate, photos, seating capacity, operating authority, and other relevant records.
4.4 Documentation Requests
UWAYS may request supporting documentation from Providers at any time, including proof of licensing, insurance, registration, inspections, permits, or other compliance materials. Failure to provide requested documentation may result in restricted access, suspension, or termination.
4.5 No Unlawful Acceptance
Providers must not accept or perform any Job that they cannot lawfully, safely, or professionally perform.
5. JOB POSTING; MATCHING; AVAILABILITY; NO GUARANTEE
5.1 Job Posting
Job Posters may create Jobs by entering job details, including pickup and drop-off information, date, time, vehicle preference, passenger count, service notes, and an offered rate or compensation amount.
5.2 Platform Matching and Visibility
UWAYS may use operational, technical, geographic, compliance-based, or performance-related criteria to determine how Jobs are displayed, routed, or made visible to potential Providers. Such criteria may include location, vehicle type, profile completeness, document status, availability, response history, reliability, operational needs, and system limitations.
5.3 No Guarantee of Notification or Acceptance
UWAYS does not guarantee that any Job will be visible to any particular Provider, that any Provider will receive a notification, or that any Job will be accepted, fulfilled, or completed.
5.4 Job Poster Selection
Where applicable, the Job Poster may choose among available Providers. UWAYS does not guarantee that any particular Provider will be selected for a Job.
5.5 Job Information Accuracy
Job Posters are solely responsible for the accuracy and completeness of Job details they submit. Providers are responsible for reviewing Job details before accepting a Job.
6. PRICING AND PAYMENTS
6.1 UWAYS Does Not Set Prices
At the current stage of the Platform, UWAYS does not set, control, or determine the rates, pricing, compensation, or amounts offered for Jobs posted through the Platform.
6.2 Job Poster Determines Offered Amount
Job Posters are solely responsible for determining the amount they wish to offer for a Job, including the amount to be paid to a Provider or driver.
6.3 Payments Are Between Users
At the current test stage of the Platform, payments relating to Jobs are generally arranged directly between the relevant Users and are not processed, collected, held, escrowed, or paid out by UWAYS.
6.4 No Payment Guarantee by UWAYS
UWAYS does not guarantee payment, collection, recovery, remittance, or enforcement of any amount owed between Users. Users are solely responsible for handling payment arrangements and resolving payment-related issues with one another, except to the limited extent UWAYS may choose to assist with support or review.
6.5 Payment-Related Communications
UWAYS may, but is not obligated to, facilitate communications relating to offered rates, payment status, cancellations, disputes, fraud concerns, or related service issues where reasonably necessary to operate the Platform, provide support, maintain records, protect platform integrity, or enforce these Terms.
6.6 Future Payment Functionality
If UWAYS later introduces in-platform payment features, payment processor integrations, commissions, platform fees, or related payment functionality, UWAYS may update these Terms and any applicable policies accordingly.
7. CANCELLATIONS; NO-SHOWS; DISPUTES
7.1 In-App or Job-Specific Policies
Certain Jobs may be subject to cancellation, refund, no-show, lateness, or dispute rules presented in the Platform, on a job screen, in a policy notice, or otherwise at the time of posting, booking, or acceptance. To the extent permitted by law, any job-specific or in-app policy presented for a particular Job will control for that Job if it conflicts with these general Terms.
7.2 Job Poster Cancellations
If a Job Poster cancels a Job, consequences may depend on the circumstances, the timing of the cancellation, the stage of performance, and any applicable job-specific policy.
7.3 Provider Cancellations
If a Provider cancels an accepted Job without a valid reason, UWAYS may take corrective action, including reduced visibility, lower platform priority, temporary suspension, or termination, depending on the circumstances and pattern of conduct.
7.4 No-Shows and Lateness
If a passenger, Job Poster, or Provider fails to appear, is materially late, or otherwise fails to perform as expected, UWAYS may review the matter based on available records, messages, timestamps, location data, call logs, photographs, screenshots, or other relevant information.
7.5 Dispute Review
UWAYS may, but is not obligated to, review disputes relating to Job performance, no-shows, cancellations, misconduct, wrong location, misrepresentation, payment-related issues, or other platform-related issues. Users agree to cooperate in any such review.
7.6 Platform Action
Following a dispute or review, UWAYS may take action it deems appropriate in its discretion, including warnings, account restrictions, removal of content, limitation of access, suspension, or termination.
8. PASSENGER / CLIENT INFORMATION; USER RESPONSIBILITY
8.1 Information Submitted by Users
Job Posters and other Users may submit personal information relating to passengers, clients, guests, or end customers in connection with a Job.
8.2 Responsibility for Lawful Disclosure
The User providing such information represents and warrants that they have the legal right and authority to share that information through the Platform and that they have provided any required notices or obtained any required consents under applicable law.
8.3 Limited Platform Role
UWAYS may process passenger or client information for platform operation, coordination, customer support, safety, fraud prevention, dispute review, and enforcement, but UWAYS does not assume responsibility for the legality of a User’s collection or disclosure of such information.
9. CONFIDENTIALITY; NON-CIRCUMVENTION; NON-SOLICITATION
9.1 Confidential Information
Users may obtain access to non-public information through the Platform, including passenger information, contact details, job details, schedules, rates, routes, notes, communications, and other business or operational information. Such information is confidential and must be protected.
9.2 No Circumvention
Users may not use the Platform to identify, contact, solicit, contract with, or divert business directly from any passenger, client, Job Poster, Provider, fleet, or other User introduced through the Platform in a manner that bypasses the Platform or undermines the Platform’s intended marketplace function.
9.3 No Self-Promotion During Platform Jobs
While performing or coordinating a Job obtained through the Platform, Providers and Users must not:
promote outside services in a manner intended to divert business;
distribute business cards, flyers, QR codes, or outside contact details for future direct bookings unrelated to the immediate Job;
request passenger or client contact details for future off-platform business except as strictly necessary to complete the assigned Job; or
otherwise attempt to capture or redirect business introduced through the Platform.
9.4 Sharing Restrictions
Job details, reservation details, passenger information, and related non-public platform information may be shared only with persons legitimately involved in fulfilling the Job and may not be reposted to unrelated groups, public channels, social platforms, or third-party networks unless expressly authorized by UWAYS in writing.
9.5 Enforcement
Violations of this Section may result in content removal, restricted access, suspension, termination, legal action, or other relief available under law or equity.
10. ACCEPTABLE USE; PROHIBITED CONDUCT
You agree not to:
provide false, misleading, incomplete, or fraudulent information;
impersonate any person or entity;
use the Platform for unlawful, harmful, abusive, harassing, discriminatory, or fraudulent purposes;
upload or transmit content that is unlawful, defamatory, threatening, obscene, or infringing;
interfere with, disrupt, damage, or compromise the Platform or its security;
scrape, extract, harvest, copy, or misuse Platform data or User information without authorization;
use the Platform to violate privacy, publicity, intellectual property, transportation, insurance, labor, or consumer protection laws;
misrepresent a vehicle, driver, insurance status, permit status, or service capability;
accept Jobs with no intention or ability to perform them properly; or
otherwise use the Platform in a manner inconsistent with these Terms or applicable law.
11. SAFETY; SERVICE RISKS; USER-TO-USER RELATIONSHIPS
11.1 Inherent Risks
Transportation and real-world service coordination involve inherent risks, including traffic delays, accidents, road hazards, property damage, personal injury, misconduct by third parties, scheduling errors, and other unforeseen events.
11.2 User Responsibility
Each User assumes the risks associated with participating in Jobs, interacting with other Users, and arranging or performing services through the Platform, to the maximum extent permitted by law.
11.3 No Responsibility for Independent Parties
To the maximum extent permitted by law, UWAYS is not responsible for the acts, omissions, conduct, services, safety practices, legal compliance, pricing decisions, payment conduct, or performance of Job Posters, Providers, passengers, or third parties.
11.4 User-to-User Disputes
Any dispute relating to transportation services, pricing, service quality, payment, lateness, no-show, property, conduct, or performance is primarily between the relevant Users. UWAYS may assist with review or evidence collection but is not a party to the transportation service agreement unless expressly stated otherwise for a specific Job.
11.5 Accessibility and Legal Service Requirements
Providers are solely responsible for complying with applicable accessibility, non-discrimination, child seat, safety assistance, and service-animal laws and requirements.
12. THIRD-PARTY SERVICES
The Platform may rely on or integrate with third-party products or services, including maps, geolocation services, hosting, telecommunications, messaging, analytics, email, SMS, verification tools, and other infrastructure or service providers.
UWAYS is not responsible for outages, delays, inaccuracies, downtime, policies, acts, or omissions of third-party services.
13. USER CONTENT; PLATFORM LICENSE
13.1 User Content
You retain ownership of Content you submit to the Platform, subject to the rights granted in these Terms.
13.2 License to UWAYS
By submitting Content to the Platform, you grant UWAYS a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, copy, reproduce, display, modify, adapt, transmit, and use such Content as reasonably necessary to operate, improve, secure, support, and enforce the Platform and these Terms.
13.3 Responsibility for Content
You are solely responsible for the Content you submit and represent that you have all rights necessary to submit it and grant the above license.
14. SUSPENSION; RESTRICTION; TERMINATION
14.1 UWAYS Rights
UWAYS may suspend, restrict, limit, or terminate access to the Platform, any account, or any feature at any time, with or without notice, if UWAYS believes such action is appropriate to protect Users, address risk, investigate misconduct, respond to legal obligations, protect platform integrity, or enforce these Terms.
14.2 Effect of Termination
Upon termination, your right to access and use the Platform will immediately cease. Any provisions of these Terms that by their nature should survive termination will survive, including provisions concerning confidentiality, limitation of liability, indemnification, dispute resolution, and governing law.
15. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
UWAYS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, SECURITY, ACCURACY, OR RELIABILITY.
UWAYS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, AVAILABLE AT ALL TIMES, OR FREE OF DEFECTS, OR THAT ANY JOB, MATCH, USER, COMMUNICATION, OR OUTCOME WILL MEET YOUR EXPECTATIONS.
16. LIMITATION OF LIABILITY
16.1 Excluded Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UWAYS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO THE PLATFORM, THE SERVICES ARRANGED THROUGH IT, OR THESE TERMS.
16.2 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UWAYS’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:
(a) THE TOTAL AMOUNT, IF ANY, PAID BY YOU DIRECTLY TO UWAYS FOR USE OF THE PLATFORM DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
(b) ONE HUNDRED U.S. DOLLARS (US $100).
16.3 Application
THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE FORM OF ACTION AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
17. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless UWAYS and its affiliates, owners, officers, directors, employees, contractors, agents, successors, and assigns from and against any claims, demands, actions, liabilities, damages, losses, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
your use of the Platform;
your Content;
any Job you post, accept, request, coordinate, or perform;
your violation of these Terms or applicable law;
your negligence, misconduct, fraud, misrepresentation, or willful wrongdoing; or
your infringement or violation of any rights of another person or entity.
18. INFORMAL DISPUTE RESOLUTION
Before initiating arbitration or court proceedings, you agree to first contact UWAYS at support@uways.com
and provide:
your full name and account information;
a description of the issue;
any relevant Job or account details; and
the relief requested.
The parties agree to attempt in good faith to resolve the matter informally for at least thirty (30) days before commencing a formal proceeding, unless immediate injunctive relief is permitted under these Terms.
19. ARBITRATION AGREEMENT; CLASS ACTION WAIVER
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
19.1 Agreement to Arbitrate
Except as otherwise provided in these Terms, any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or the relationship between you and UWAYS shall be resolved by binding individual arbitration rather than in court.
19.2 Exceptions
Either party may:
bring an eligible individual claim in small claims court; or
seek injunctive or equitable relief in court for misuse of confidential information, circumvention, non-solicitation violations, intellectual property misuse, fraud, or other claims for which temporary or immediate equitable relief may be appropriate.
19.3 Class Action Waiver
To the maximum extent permitted by law, you and UWAYS agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, representative, coordinated, or mass action.
19.4 Arbitration Provider and Rules
The arbitration shall be administered by a reputable arbitration provider, such as AAA or JAMS, under the provider’s applicable rules, except to the extent modified by these Terms or applicable law.
19.5 Remote Proceedings
Unless required otherwise by applicable rules or the arbitrator, arbitration may be conducted remotely by video conference, telephone, written submissions, or similar means.
19.6 Fees and Costs
Arbitration fees and costs shall be allocated in accordance with the applicable arbitration rules and governing law.
19.7 Opt-Out
You may opt out of this arbitration agreement by emailing support@uways.com
within thirty (30) days after first accepting these Terms. Your opt-out notice must include your full name, account email or phone number, and a clear statement that you wish to opt out of arbitration.
20. FAIR MARKETPLACE; PLATFORM PARTICIPATION
20.1 Marketplace Integrity
UWAYS seeks to operate the Platform as a fair marketplace. However, marketplace visibility, matching, and outcomes may vary based on operational, geographic, technical, legal, behavioral, safety, reliability, or performance-related factors.
20.2 No Guaranteed Placement
UWAYS does not guarantee any User priority placement, minimum volume, exclusivity, or any specific ranking, visibility, or number of Job opportunities.
20.3 Affiliate or Operator Participation
UWAYS and/or its affiliates may participate on the Platform as a Job Poster, Provider, or in other legitimate business roles. When doing so, UWAYS may operate one or more accounts for lawful business purposes, subject to applicable platform rules and policies, unless expressly stated otherwise.
20.4 Confidential Information Safeguards
UWAYS will take commercially reasonable measures to restrict internal access to non-public user information to authorized personnel and systems with a legitimate operational, support, safety, compliance, fraud-prevention, or enforcement need.
21. PRIVACY
Your use of the Platform is also subject to the UWAYS Privacy Policy, which is incorporated into these Terms by reference. If there is a conflict between these Terms and the Privacy Policy regarding privacy or data handling matters, the Privacy Policy will govern with respect to those matters.
22. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of laws principles, except that the Federal Arbitration Act shall govern the interpretation and enforcement of the arbitration provisions to the extent applicable.
23. LIMITATION PERIOD
To the maximum extent permitted by law, any claim arising out of or relating to the Platform or these Terms must be filed within one (1) year after the event giving rise to the claim, or such claim will be permanently barred.
24. ELECTRONIC COMMUNICATIONS
You consent to receive communications from UWAYS electronically, including by email, text message, in-app notice, push notification, or posting through the Platform, where permitted by law.
25. CHANGES TO THESE TERMS
UWAYS may modify these Terms from time to time. If we do, we will update the “Effective Date” or “Last Updated” date above. Your continued use of the Platform after updated Terms become effective constitutes your acceptance of the revised Terms, to the extent permitted by law.
26. SEVERABILITY; ASSIGNMENT; ENTIRE AGREEMENT
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
You may not assign or transfer your rights or obligations under these Terms without UWAYS’s prior written consent. UWAYS may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
These Terms, together with any policies or notices expressly incorporated by reference, constitute the entire agreement between you and UWAYS regarding the Platform.
